Do I need a Missouri registered agent?
Yes. You sure do. Missouri law (ยง351.370, to be exact) explicitly states that businesses are required to appoint a Missouri registered agent in order to do business in the state. Your registered agent can be anyone in the state as long as they are over the age of eighteen and present during regular business hours every day. However, when you appoint a registered agent their personal information, like their name and address, go on your company’s state paperwork and become public record. Can I be my own Missouri registered agent?
Technically, yes. You can act as your own registered agent in Missouri as long as you are personally available at the address you listed on your state paperwork 9 hours a day, 5 days a week. Keep in mind that part of what a registered agent does is collect service of process, so if you designate yourself as your business’s registered agent and your business gets sued, you may be served papers in from of your customers. Yikes.
Also, the state requires you to provide the name and address of your registered agent. This information then goes on public record. If you prefer to keep your private information just that–private–hiring a registered agent is a good way to protect your privacy.
What happens if I don’t get a Missouri registered agent?
It’s not a good idea to avoid appointing a registered agent for your Missouri business. In fact, if you fail to do so you may end up having to pay fines or lose your good standing with the state. Even worse, if you continue to put off appointing a registered agent, you may also face the possibility of administrative dissolution.
The state wants to be sure that any important notifications they send out, as well as any service of process, will end up in your hands. Failing to appoint a registered agent makes this difficult. How do I change my Missouri registered agent?
Luckily, the state of Missouri makes it pretty easy to change registered agents.
First, you’ll complete a State of Change of Registered Agent and/or Registered Office form provided by the Missouri Secretary of State.
Next, you’ll want to have your new registered agent provide consent. This can include their signature on the Change of Registered Agent form itself or a signed letter of consent. You’ll also want to make sure you let your current registered agent know that you are switching.
Last, submit the form and pay the filing fee. You can submit your filing online, by mail or fax, or in person.
